Corporate Advisory

Many legal questions companies face in their daily operations can be resolved easily if they are assessed properly before a dispute arises. Our office provides ongoing legal advice to companies, offering preventive support in contracts, personnel, shareholder and compliance matters.

Main topics

  • Ongoing legal advice and retained counsel arrangements
  • Drafting and reviewing commercial contracts
  • Company formation, articles of association and general assembly procedures
  • Share transfers and disputes between shareholders
  • Employment law compliance and personnel procedures
  • Compliance with personal data protection legislation (KVKK)
  • Monitoring and collection of receivables

General information on the process

Ongoing advice means that the company's field of activity, contract structure and personnel organisation are known in advance, so that questions can be answered quickly and specifically. The scope and duration of the advisory service are set out in a written agreement according to the company's needs.

Under the Attorneys Act, joint stock companies and building cooperatives meeting certain conditions are required to retain a contracted attorney. Companies falling within the scope of this obligation should assess their position separately.

Guide

What does ongoing legal advice offer a company?

Contracts are reviewed before they are signed, personnel procedures are carried out in compliance with the law, and the risk of dispute is noticed at an early stage. This reduces the risk of litigation and liability and speeds up decision-making on legal matters.

How are shares transferred in a limited company?

Shares in a limited company are transferred by a written transfer agreement with notarised signatures. Unless the articles of association provide otherwise, approval of the general assembly is also required for the transfer to be valid. After the transfer, it must be entered in the share register and registered with the trade registry.

The information in this section is general in nature and does not constitute legal advice. The specific circumstances of each case must be assessed individually.
